Terms of Service

Press Desk LLC ("Press Desk," "we," "our," or "us") is a Florida limited liability company. These Terms of Service ("Terms") govern your access to and use of the Press Desk website, products, services, communications, and related offerings.
 

By accessing our website, submitting information, purchasing services, participating in a referral or partner program, communicating with Press Desk, or otherwise using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you should not use our website or services.
 

1. Eligibility

Press Desk services are intended solely for individuals and entities capable of entering into legally binding agreements under applicable law.
 

By using our services, you represent and warrant that:

  • You are at least eighteen (18) years of age;

  • You possess the legal authority to enter into these Terms;

  • If acting on behalf of a business or organization, you possess authority to bind that entity to these Terms; and

  • All information provided to Press Desk is truthful, accurate, and complete.
     

2. Services

Press Desk provides professional press release writing, editing, consultation, review, and distribution-related services.
 

Descriptions of services, pricing, timelines, deliverables, and product features are provided on our website and in our Product Policy.
 

Press Desk reserves the right to modify, suspend, discontinue, update, reject, or limit any service at any time and for any reason.
 

Nothing contained on our website, marketing materials, proposals, communications, examples, case studies, testimonials, statistics, prior campaigns, or service descriptions shall be interpreted as a guarantee of results.
 

3. Orders and Payment

All fees are stated in United States Dollars unless otherwise indicated.
 

Payment is due at the time of purchase unless otherwise agreed in writing by Press Desk.
 

By providing payment information, you represent and warrant that you are authorized to use the selected payment method and authorize Press Desk and its payment providers to charge all applicable fees.
 

Press Desk reserves the right to refuse, cancel, suspend, reject, or terminate any order at its sole discretion.
 

In the event a payment is declined, disputed, reversed, refunded, charged back, or otherwise invalidated, Press Desk may suspend services, withhold deliverables, revoke access to services, pursue collection efforts, recover costs and fees, and take any other lawful action deemed necessary.
 

Clients agree not to initiate chargebacks, payment disputes, payment reversals, or similar actions for services properly rendered in accordance with these Terms and the Product Policy.
 

In the event of a chargeback or payment dispute, Press Desk reserves the right to provide order records, intake forms, communications, drafts, revisions, approvals, PandaDoc records, distribution confirmations, and any other relevant documentation to financial institutions, payment processors, arbitration providers, courts, or dispute resolution authorities.
 

4. Client Submissions

Clients are solely responsible for all information, materials, statements, quotations, images, logos, media assets, documents, contact information, and content submitted to Press Desk.
 

By submitting content, you represent and warrant that:

  • You own or possess all necessary rights, permissions, licenses, and authority required to provide such content;

  • The content is accurate to the best of your knowledge;

  • The content does not violate any law, regulation, contractual obligation, privacy right, publicity right, intellectual property right, or third-party right;

  • The content may lawfully be edited, reproduced, distributed, displayed, modified, and published; and

  • You assume responsibility for the content submitted.
     

Press Desk shall not be responsible for inaccuracies, omissions, misleading statements, unsupported claims, or unlawful content supplied by a client.
 

5. Editorial Discretion

Press Desk maintains full editorial discretion over all services provided through its platform.
 

Press Desk may edit, revise, restructure, rewrite, condense, expand, reformat, reorganize, or otherwise modify submitted content to improve clarity, professionalism, readability, compliance, newsworthiness, editorial quality, and distribution eligibility.
 

Press Desk reserves the right to reject, suspend, remove, revise, decline, or terminate any project, submission, customer relationship, or service request at any time and for any reason.
 

6. Distribution and Third-Party Services

Press Desk may utilize third-party vendors, service providers, software providers, payment processors, document approval platforms, hosting providers, distribution services, and media distribution networks.
 

Press releases distributed through EIN Presswire or any future distribution partner remain subject to the policies, standards, technical requirements, editorial guidelines, review procedures, and acceptance criteria of those providers.
 

Press Desk does not control and shall not be responsible for:

  • Publication decisions;

  • Editorial decisions;

  • Delays;

  • Rejections;

  • Modifications;

  • Content removals;

  • Search engine behavior;

  • AI platform behavior;

  • Media pickup decisions;

  • Distribution outcomes; or

  • Any actions taken by third parties.
     

Clients acknowledge that Press Desk acts solely as a service provider facilitating preparation and submission of press releases and shall not be liable for the actions or decisions of any publisher, journalist, media outlet, distribution service, website, search engine, AI platform, or technology provider.
 

7. Client Approval and Release

Client approval of a press release through PandaDoc, email, or another approved review platform constitutes confirmation that the client has reviewed and approved the content in its final form.
 

Client approval further constitutes authorization for Press Desk to proceed with distribution.
 

Upon approval, the client accepts full responsibility for the accuracy of all facts, statements, quotations, claims, representations, and materials contained within the approved press release.
 

To the fullest extent permitted by law, the client releases Press Desk from any liability arising from content approved by the client prior to distribution, including claims relating to:

  • Accuracy;

  • Completeness;

  • Publication outcomes;

  • Media reception;

  • Reputational effects;

  • Business consequences;

  • Third-party responses; and

  • Distribution outcomes.
     

8. No Guarantee of Results

Press Desk provides professional services but does not guarantee any specific outcome.
 

Without limitation, Press Desk does not guarantee:

  • Media coverage;

  • Media pickup;

  • Publication by any specific publication;

  • Publication by any specific journalist;

  • Search engine rankings;

  • Search engine indexing;

  • AI visibility;

  • AI-generated citations;

  • Website traffic;

  • Lead generation;

  • Sales;

  • Revenue;

  • Brand awareness;

  • Public relations outcomes;

  • Investor interest;

  • Business growth; or

  • Any specific business result.
     

Past results, examples, testimonials, media placements, case studies, or statistics are illustrative only and are not guarantees of future performance.
 

9. Intellectual Property

All trademarks, logos, branding, website content, graphics, workflows, templates, systems, proprietary processes, and business materials owned by Press Desk are the exclusive property of Press Desk LLC or its licensors.
 

Clients retain ownership of original materials submitted to Press Desk.
 

By submitting materials, clients grant Press Desk a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, edit, distribute, display, transmit, and process such materials solely for purposes of providing services and operating the business.
 

10. Prohibited Conduct

Users may not:

  • Violate applicable law;

  • Submit false or misleading information;

  • Infringe intellectual property rights;

  • Submit defamatory content;

  • Submit unlawful content;

  • Interfere with website functionality;

  • Attempt unauthorized access to systems;

  • Submit content prohibited by the Product Policy; or

  • Use Press Desk services for unlawful purposes.
     

Press Desk reserves the right to investigate suspected violations and take any action deemed appropriate.
 

11. Disclaimer of Warranties

The website, services, content, deliverables, and related materials are provided on an "as is" and "as available" basis.
 

To the fullest extent permitted by law, Press Desk disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, reliability, accuracy, or uninterrupted operation.
 

Press Desk does not warrant that services will be uninterrupted, error-free, secure, or free from defects.
 

12. Limitation of Liability

To the maximum extent permitted by applicable law, Press Desk LLC and its owners, members, managers, officers, employees, contractors, affiliates, agents, successors, and assigns shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages arising from or relating to the website, services, deliverables, or business relationship.
 

Under no circumstances shall Press Desk be liable for:

  • Lost profits;

  • Lost business opportunities;

  • Lost revenue;

  • Loss of goodwill;

  • Reputational harm;

  • Media outcomes;

  • Publication outcomes;

  • Search engine performance;

  • Search engine indexing;

  • AI visibility;

  • Business interruption;

  • Loss of data; or

  • Any consequential damages.
     

This limitation applies regardless of the legal theory asserted and even if Press Desk has been advised of the possibility of such damages.
 

In no event shall Press Desk's total aggregate liability exceed the amount actually paid by the client to Press Desk for the specific service giving rise to the claim.
 

13. Limitation Period for Claims

To the fullest extent permitted by law, any claim, action, dispute, or proceeding arising from or relating to the website, services, deliverables, or business relationship with Press Desk must be commenced within one (1) year after the claim arises.
 

Any claim not brought within such period shall be permanently barred.
 

14. Indemnification

You agree to defend, indemnify, and hold harmless Press Desk LLC and its owners, members, managers, officers, employees, contractors, affiliates, agents, successors, and assigns from and against any claims, demands, actions, investigations, liabilities, damages, judgments, settlements, losses, costs, expenses, or attorneys' fees arising from or relating to:

  • Content submitted by you;

  • Information supplied by you;

  • Your use of Press Desk services;

  • Your violation of these Terms;

  • Your violation of applicable law;

  • Any allegation that submitted content is false, misleading, defamatory, deceptive, unlawful, infringing, or otherwise improper; or

  • Any third-party claim arising from the publication, distribution, or use of information supplied by you.
     

This indemnification obligation shall survive completion of services, termination of the business relationship, and expiration of these Terms.
 

15. Privacy Policy and Product Policy

Your use of Press Desk is also governed by our Privacy Policy and Product Policy, both of which are incorporated into these Terms by reference.
 

In the event of a conflict between these Terms and any other policy, these Terms shall control to the fullest extent permitted by law.
 

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida without regard to conflict of law principles.
 

17. Dispute Resolution and Arbitration

The parties agree to make a good-faith effort to resolve any dispute, claim, or controversy before initiating formal legal proceedings.
 

Except where prohibited by law, any dispute, claim, or controversy arising from or relating to these Terms, the website, services, deliverables, or business relationship between the parties shall be resolved through binding arbitration administered by a recognized arbitration provider selected by Press Desk.
 

The arbitration shall take place in Florida and shall be conducted in the English language.
 

The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
 

Notwithstanding the foregoing, Press Desk may seek injunctive relief, equitable relief, collection actions, enforcement of intellectual property rights, or emergency relief in any court of competent jurisdiction.
 

Class Action Waiver

To the fullest extent permitted by law, all disputes shall be conducted solely on an individual basis.
 

The parties expressly waive any right to participate in any class action, collective action, representative action, consolidated action, mass arbitration, or similar proceeding against Press Desk LLC or its owners, members, managers, officers, employees, contractors, affiliates, agents, successors, or assigns.
 

No arbitration or legal proceeding shall be consolidated with any other proceeding without Press Desk's prior written consent.
 

18. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
 

19. Entire Agreement

These Terms, together with the Privacy Policy, Product Policy, and any additional written agreements entered into between Press Desk and the client, constitute the entire agreement between the parties regarding the subject matter herein.
 

20. Changes to These Terms

Press Desk reserves the right to modify these Terms at any time.
 

Updated versions become effective upon posting to the website with a revised effective date.
 

Continued use of the website or services after such changes constitutes acceptance of the revised Terms.
